This End User Licence Agreement (“EULA”) is between INTELLIENS INFOCOM LLP, a limited liability partnership registered in India (“we”, “us”), and the organisation that installs or uses the Xtic software (“you”). It applies to every edition — Free, Pro, Business and Enterprise — and to trials. Paid subscriptions are also governed by the Subscription and Support Terms.
1. The licence
We grant you a non-exclusive, non-transferable licence to install the Xtic software on infrastructure you control and to use it for your own internal purposes, within the edition, number of protected servers, users and term of your licence. A “protected server” is a host, container platform or database server that Xtic backs up, as counted by the product.
2. Installations and licence keys
A licence is active on one Xtic installation at a time. Licence keys are for your organisation only; you may move a licence to new hardware as described in the licensing documentation.
3. Restrictions
You must not circumvent, disable or tamper with licence checks or limits; resell, sublicense or provide Xtic as a service to third parties unless you have a written partner agreement with us; or remove proprietary notices. Reverse engineering is not permitted except to the extent the law allows it despite this restriction.
4. Open-source components
Xtic includes open-source components under their own licences, which are listed in the product and take precedence for those components.
5. Your responsibilities
You decide what Xtic backs up, where backups are stored and who holds the keys. You are responsible for configuring Xtic, keeping encryption keys and the recovery kit safe, and testing restores — Xtic provides restore drills for this purpose. Backup data never leaves your infrastructure for ours; you remain responsible for any personal data inside your backups.
6. Warranty and remedy
We warrant that paid editions will perform substantially as described in the documentation for 30 days from purchase. Your remedy is a fix, or a full refund under the refund policy. Otherwise the software is provided “as is”, to the extent the law allows.
7. Limitation of liability
Our total liability under this EULA is limited to the fees you paid for Xtic in the 12 months before the event giving rise to the claim. We are not liable for indirect or consequential loss, including loss of data or profit, to the extent the law allows.
8. Audit (offline licences)
If you use an offline licence, you agree to confirm your usage in writing once a year on request.
9. Termination
This licence ends when your term ends (paid editions fall back to the Free limits), or if you materially breach it and do not cure the breach within 30 days of notice. Restores and the recovery tools keep working after the term ends.
10. Export control
You must comply with export-control and sanctions laws that apply to you and to the software.
11. Governing law
This EULA is governed by the laws of India. The courts at Gwalior, Madhya Pradesh, have jurisdiction, subject to any arbitration clause in your order form.
